Competition Rules

All entrants are required to abide by and accept the following Conditions of Entry.

1. Submission of an entry into the competition constitutes acceptance of these rules (“Competition Rules”).

2. The competition is open to individuals resident in or companies incorporated in the European Union, European Economic Area and Geographical Europe (“Applicants”). Individual Applicants must be over the age of 18.

3. An Applicant who is affiliated to or employed by a publicly listed company or corporation (which shall include non-executive directorships and similar) may only enter the competition if his/her entry and the realization of the corresponding business plan are in no way whatsoever supported, funded or resourced, knowingly or unknowingly by the publicly listed company or corporation with which he/she is employed or affiliated. The use of personal salaries to develop business ideas for the competition is allowed. If an Applicant owns in whole or in part a private company it must have a turnover of less than €500,000 within the last accounting year and entries are accepted from such private companies.

4. Individuals can hold shares in listed companies but holdings should not exceed 5% of the total shares issued by that company.

5. No employees or members of the immediate family of employees, or agents and representatives of GE Inc/NBC Universal/CNBC and Allianz, their parent companies, affiliates and subsidiaries or anyone professionally connected with the Good Entrepreneur competition are eligible to enter the Good Entrepreneur competition.

6. To enter the competition, Applicants must submit a video of up to 60 seconds in length setting out an idea or business plan for a product or service which will contribute to a greener future. Entry into the competition is free. All entries must be made online via the Good Entrepreneur website accessible at www.goodentrepreneur.com (the “Website”) by midnight CET 31st July 2009.

7. Only one entry per Applicant is allowed and entries must be submitted in the English language video format in accordance with the Video Pitching Guide. Entries that are of insufficient technical quality, damaged, or defaced are invalid. Proof of making an entry does not constitute proof of receipt by CNBC. No responsibility will be accepted for entries which are lost, damaged, or delayed.

8. There is no cash alternative to any component of the Prize.

9. The winner of the competition will be the Applicant who has submitted the most innovative or effective environmentally responsible business concept. The shortlist of ten Applicants will be announced during the week beginning 7th August 2009 and the three finalists will be announced during the week beginning 17th August 2009 and the winner will be announced November 27th 2009 during a recorded television event. The short-listed Applicants, the finalists and the winner will be selected by a judging panel containing independent members. The list of short-listed Applicants and finalists may be published on the Website and the name of the winner will be published on the Website.

10. The short-listed Applicants will be notified by post, e-mail or telephone as soon as practicable after the shortlist.

11. CNBC and Allianz may use the Applicant’s address details to inform the Applicant of their products, services, events or promotions, including forthcoming CNBC programmes. By providing their address details to this competition, an Applicant consents to being contacted for this purpose. If an Applicant does not want to receive such information, this must be indicated on the Applicant’s entry. If at any point the Applicant no longer wishes to receive this information they should contact support@goodentrepreneur.com .

12. Applicants agree to allow their names and likenesses, and the name of their organisation (where applicable), to be used and for their participation in The Good Entrepreneur Awards to be recorded without compensation, for use by CNBC and Allianz for advertising and publicity purposes in relation to The Good Entrepreneur and publicity for Allianz and CNBC and their parent companies. The finalists agree to attend and participate in the filming of the Good Entrepreneur television programme series and take part in publicity and promotional activities accompanying or resulting from The Good Entrepreneur. Finalists agree that they will make no public announcement regarding The Good Entrepreneur without the consent of CNBC. Finalists and the winner will be entitled to publicise their finalist and winner status once The Good Entrepreneur results have been announced publicly by CNBC. Applicant agrees to enter into a contributor’s agreement with CNBC on CNBC’s standard terms in respect of the Applicant’s appearance in and contribution to the television programme series covering the “The Good Entrepreneur” competition.

13. Judges will use the following criteria to assess applications:
- Quality of idea in terms of environmental benefit
- Uniqueness/Originality of idea
- Quality of communication of idea in Pitch Video
- Quality of written application form
- Judges will be aware of the popularity indices and may take this into consideration but they will not be required to do so.

14. By submitting any material (including any text, photographs, graphics, video or audio) as part of their entry into the competition (the “Contribution”), the Applicant agrees to grant to CNBC and Allianz, free of charge, permission to use the Contribution in any way they require (including modifying and adapting it for operational and editorial reasons) in any media worldwide (including on the websites of CNBC or Allianz which are accessed by international users). In certain circumstances CNBC and/or Allianz may also share the Contribution with trusted third parties. The Applicant hereby grants CNBC and Allianz an irrevocable, royalty-free, perpetual world wide licence to use the Contribution and any additional information contained in the Applicant’s entry into the competition for all purposes necessary in respect of The Good Entrepreneur and to advertise and promote The Good Entrepreneur, CNBC, Allianz and their associated group companies and their respective businesses, including disclosing entries to third parties.

15. Copyright in the Applicant’s Contribution will remain with the Applicant. The permission granted in paragraph 10 above is not exclusive and the Applicant is entitled to continue to use the material in any way including allowing others to use it.

16. In order that CNBC and Allianz can use the Applicant’s Contribution, the Applicant warrants, undertakes and confirms that:

  • his/her Contribution is his/her own original work, and does not infringe any copyrights, confidential information, trade secrets, trade marks or trade names, goodwill or other intellectual property rights of a third party;
  • his/her Contribution is not defamatory and does not damage the reputation of a third party;
  • his/her Contribution does not infringe any applicable national or international laws;
  • the Applicant has the right to give CNBC and Allianz permission to use the Applicant’s Contribution for the purposes specified in paragraphs 9 and 10 above;
  • his/her Contribution does not contain any material which is contrary to public policy and/or accepted moral standards including without limitation any material which is pornographic, sexually explicit, obscene, offensive, harmful to minors, discriminatory or in any way likely to upset, distress or harm any person;
  • he/she shall not knowingly transmit any data or other material which contains viruses, Trojan horses, worms, spyware, adware or any other harmful programmes or similar computer code designed or known to adversely affect the operation of any computer hardware or software; and
  • the Applicant shall not endanger himself/herself or others, take any unnecessary risks or break any laws when creating the Contribution.

CNBC reserves the right at its sole discretion to remove any Contribution which has been identified by CNBC or any other party as contravening these Terms and Conditions, the rights of any third party or the laws or regulations in force in any territory.

17. The Applicant shall indemnify and keep indemnified CNBC and Allianz to the fullest extent possible against any claims, loss or damage howsoever arising which Allianz and/or CNBC may suffer as a result of the Applicant’s breach of its obligations under these Terms & Conditions.

18. Neither CNBC nor Allianz shall be responsible for any loss or damage howsoever arising from the unauthorised use or otherwise by a third party of an Applicant’s Contribution as a result of such Contribution being posted on the Website or featured in the television programme series.

19. By considering applications, neither CNBC nor Allianz, are implying endorsement of the Applicant, its organisation, its aims, function, remit, purposes, products or services.

20. All Applicants agree that they will not at any time, without CNBC’s prior written consent, disclose or reveal any information disclosed by CNBC, Allianz, or the panel members, during The Good Entrepreneur, including any terms of funding offered by CNBC and/or Allianz or any of their associated group companies to the Applicants, or the terms applicable to any donation, except as required by law. All short listed Applicants will be required to sign a confidentiality agreement with CNBC and Allianz.

21. Except for travel and other direct and reasonable costs as agreed by CNBC resulting from participation in filming of the television shows of the Good Entrepreneur, all expenses of participation in The Good Entrepreneur and of acceptance of a prize, unless specifically stated by CNBC in these Terms and Conditions, are the sole responsibility of the Applicant.

22. Applicants may not use The Good Entrepreneur name, logo or any images from or relating to The Good Entrepreneur events, or the logos, trade marks or other intellectual property of CNBC or Allianz without the express written approval of CNBC and/or Allianz (as applicable), which reserve all of their respective rights in relation to the same.

23. CNBC reserves the right to cancel, amend or withdraw The Good Entrepreneur or these Terms and Conditions at any time and will endeavour to give advance notice of any such change or withdrawal. However, in some cases, advance notice may not be possible.

24. Under no circumstances will CNBC, Allianz or their respective parent, subsidiaries or affiliated companies be liable for loss, damage, costs or expenses arising from or in any way connected with these Terms and Conditions, The Good Entrepreneur (including any discontinuance of The Good Entrepreneur) or relating to the Applicant's organisation, its aims, function, remit, purposes, products or services, including the following types of loss or damage:

  • any loss of profits, business, contracts, anticipated savings, goodwill, or revenue, any wasted expenditure, or any loss or corruption of data (regardless of whether any of these types of loss or damage are direct, indirect or consequential); or
  • any indirect or consequential loss or damage whatsoever.

Applicants acknowledge that in entering The Good Entrepreneur, they have not relied on any representation, warranty or undertaking. Nothing in these Terms and Conditions shall exclude or limit CNBC or Allianz's liability for death or personal injury as a result of their own negligence or in relation to fraudulent misrepresentation or any other liability which cannot be excluded or limited by law.

25. In the event of any dispute, CNBC’s decision will be final and binding. No correspondence will be entered into.

26. If any provision contained in these Terms and Conditions shall be prohibited by or adjudged by a court to be unlawful void or unenforceable such provision shall to the extent required be severed from these Terms and Conditions and rendered ineffective as far as possible without modifying the remaining provisions of this Agreement and shall not in any way affect any other circumstances or the validity or enforcement of the remaining Terms and Conditions.

27. Any failure on the part of CNBC or Allianz to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision and shall not be deemed to be a waiver of any other term or condition hereunder, or a subsequent breach of such term or condition.

28.These Terms and Condition shall apply in conjunction with CNBC’s privacy policy and terms of use of cnbc.com website can be found at http://www.cnbc.com/id/15837353/ and in the case of any conflict or discrepancy the terms and conditions herein shall prevail.

29. The Good Entrepreneur and the Terms and Conditions will be governed by English law and any dispute will be determined by the exclusive jurisdiction of the English courts.
